In Matter of NetVoyage Corp. aka NetDocuments.com, the New York State Tax Appeals Tribunal considered whether the company’s cloud-based document management platform constituted taxable prewritten computer software or a nontaxable document storage service. Following an audit of the company’s sales from June 2017 through November 2019, the Division of Taxation assessed additional sales tax, plus interest, on certain untaxed New York sales. NetDocuments characterized its product primarily as document storage and related services. The Tribunal disagreed, finding that the platform offered an extensive suite of software-driven features, including document organization, workflow management, email integration, search functionality, collaboration tools, security controls, and task management. The Tribunal concluded that the software component was essential to the product and therefore rendered the entire bundled transaction taxable as a sale of prewritten software. It also held that contractual restrictions on customers’ use did not change that result because New York law treats licenses and rights to use software as taxable transfers.
Additionally, NetDocuments.com’s argument that the Internet Tax Freedom Act preempted New York’s tax was also rejected. The Tribunal concluded that the company was not selling Internet access or any other service protected by the statute, but rather an integrated software product. And the Tribunal also declined to apportion receipts based on user location because NetDocuments.com had not provided sufficient documentation identifying where users were located, despite repeated requests during the audit. The decision reinforces New York’s broad view that a cloud-based platform is taxable when software functionality is an essential component, even if the platform also includes substantial storage and service elements.
